<br />ORIGINAL <br /> <br />AMENDMENT NO.3 TO AGREEMENT FOR BAY SPAN SERVICES <br />[Bay Span, Inc.] <br /> <br />This Amendment NO.3 is entered into and effective as of the 6day of July, <br />2006, amending the Agreement for Bay Span Services, by and between the City of <br />Redwood City, a charter city and municipal corporation of the State of California ("City") <br />and Bay Span, Inc. a Corporation ("Consultant" or "Bay Span") (collectively, the <br />"Parties") <br /> <br />RECITALS <br /> <br />A. On or about April 30, 2005, the Parties entered into the Agreement with <br />Bay Span, Inc., to provide temporary labor and administrative management for <br />temporary workers. <br /> <br />B. On or about May 23, 2005, the Parties executed Amendment No. 1 to the <br />Agreement to extend the term to December 31, 2005 and to increase funding for the <br />Agreement in an amount not-to-exceed $190,000. <br /> <br />C. On or about August 30, 2005, the Parties executed Amendment NO.2 to <br />the Agreement to extend the term to June 30, 2006, and to modify the indemnification <br />and insurance provisions. <br /> <br />D. The Parties desire to extend and fund the Agreement for a period of one <br />year commencing on July 1, 2006 and ending on June 30, 2007. <br /> <br />E. The Parties have negotiated and agreed to a supplemental scope of work <br />and modified fee schedule, which is attached to and incorporated herein by this <br />reference as Exhibit "A", Scope of Services and Fee. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. In addition to those services contained in the Agreement, as may have <br />been amended from time to time, Consultant will provide those services described in <br />Exhibit "A." With this Amendment, the total annual Agreement amount shall not exceed <br />One Hundred Ninety Thousand dollars ($190,000.00). <br /> <br />2. City will pay Consultant for all work associated with those services <br />described in Exhibit "A" on a time and materials basis not-to-exceed One Hundred <br />Ninety Thousand dollars ($190,000.00). Consultant will provide City on a monthly <br />basis, copies of invoices sufficiently detailed to include hours performed, hourly rates, <br />and related activities and costs for approval by City. <br /> <br />3. <br />2007. <br /> <br />Consultant will complete all work, described in Exhibit "A" by June 30, <br /> <br />Amendment to Add Time-Change Scope-Fee Schedule <br />City Attorney Approved Version 090103 <br />
