In full consideration of Contractor's Performance of "the services describt:'d in Exhibit A, the amount that the City shall be obligated to . pay under this Agreement shall not exceed One Hundred Seventy Nine Thousand, Two Hundred Twenty-Two and no Dollars ($179,222.00) and the amount that the City shall be obligated to pay under this Agreement shall not exceed One Hundred Forty-Seven Thousand, and no Dollars ($147,000) for a collective total of One Hundred Seventy Nine Thousand and no Dollars ($179,222) pursuant to that Certain Pre Award Agreement that allowed prior disbursement of $32,222 for emergency plumbing repairs. B. Rate of Payment. The rate and terms of payment shall be as specified in Exhibit "A." Any change is subject to the approval of the Housing Coordinator or her authorized representative, and shall not be binding on City unless so approved in writing. In no event may the terms of payment be changed to the extent that the maximum City obligation shall exceed the total specified in Paragraph 2A above. Each payment shall be conditioned on the performance of the services described in Exhibit A to the full satisfaction of the Housing Coordinator or her representative. c. Time Limit for Submittina Invoices. Contractor shall submit a final invoice for payment no later than June 30,2004. D. Standard of Service. Contractor warrants to City that it will use and account for all funds provided hereunder strictly in accordance with standards governing the use of, and accountability for, funds held and disbursed in trust. Contractor's program funded hereunder shall conform to the highest standards providing for programs of similar or like nature in the San Francisco Bay Area. Contractor shall be responsible for, and hold City harmless from, any failure to adhere to such standards. Contractor shall verify that all activities funded hereunder benefit only residents within City's corporate limits. Annual reports shall continue to be due to City each year for a period of no less than five years from the date of execution of this agreement. 3. RELATIONSHIP OF PARTIES It is expressly understood that this is an agreement between two (2) independent contractors and that no agency, employee, partnership, joint venture or other relationship is established by this Agreement.
