BOX 391 <br />1017 MIDDLE FIELD ROAD <br />REDWOOD CITY, CA 94064 <br /> <br />ðt14 <br />~~þ <br />~~(;" <br /> <br />EIGHTH AMENDMENT TO <br />AND RESTATEMENT OF <br />DEVELOPMENT AGREEMENT <br /> <br />This EIGHTH AMENDMENT TO AND RESTATEMENT OF DEVELOPMENT <br />AGREEMENT ("Amendment") is entered into as of this /3tJ.. day of ~ ,2003, <br />by and between REDWOOD SHORES PROPERTIES, a California general p rtnershlP <br />("RSP"), and the CITY OF REDWOOD CITY, a municipal corporation of the State of <br />California ("City"), for itself and for and on behalf of the REDWOOD CITY GENERAL <br />IMPROVEMENT DISTRICT NO. 1-64 ("District"). <br /> <br />RECITALS <br /> <br />A. Redwood Shores, Inc., a California corporation ("Redwood Shores"), the City and <br />the District entered into that certain Development Agreement GID 1-64 dated June 16, 1982 <br />("Original Development Agreement"), which Original Development Agreement was recorded on <br />July 8, 1982, as Document No. 82057195 in the Official Records of San Mateo, California <br />("Official Records"). The real property which is subject to the Original Development Agreement <br />includes all that real property owned by Redwood Shores as of June 23, 1982 and located within <br />those areas designated as Redwood Peninsula Areas A through I, inclusive, including, without <br />limitation, the real property owned by RSP and commonly known as Area H ("Area H"). The <br />Original Development Agreement was amended by that certain Amendment to Development <br />Agreement GID 1-64 between the City, the District and Redwood Shores dated May 22, 1984 <br />and recorded September 17, 1984 as Document No. 84101669 in the Official Records (the "First <br />Amendment"), further amended by that certain Second Amendment to Development Agreement <br />between the City, the District, Redwood Shores and RSP dated June 19, 1990 and recorded June <br />19,1990 as Document No. 90082412 in the Official Records (the "Second Amendment"), further <br />amended by that certain Third Amendment to Development Agreement between the City, the <br />District and RSP dated September 3, 1997 and recorded on September 25, 1997 as Document <br />No. 97122586 in the Official Records (the "Third Amendment"), further amended by that certain <br />Fourth Amendment to Development Agreement between the City, the District and RSP dated <br />June 20,2002 and recorded on July 2,2002 as Document No. 2002-128414 (the "Fourth <br />Amendment") and further amended by that certain Fifth Amendment to Development Agreement <br />between the City, the District and RSP dated August 5, 2002 and recorded on September 3,2002 <br />as Document No. 2002-172716 (the "Fifth Amendment"), further amended by that certain Sixth <br />Amendment to Development Agreement between the City, the District and RSP dated <br /> <br />KP A TTON :mds:RSP.4345\amendGID64,8patton <br />F:Attyl Agrl AmendGID64.8 <br />081103 <br /> <br />1 <br />
