MJP:mm 12/28/88 (#38/028) <br /> <br />Forty-four Thousand and No/100 Dollars ($44,000.00) plus Two <br />Thousand Dollars ($2,000.00) for contingencies. The budget for <br />the project is attached hereto and incorporated by reference as <br />Exhibit "C". <br /> <br /> 3. RECORDS, STATEMENTS, PAYMENT. Consultant shall keep <br />and maintain accurate records of time devoted to rendering <br />services hereunder. Consultant shall submit a periodic statement <br />of charges to City which statement shall describe briefly the <br />services rendered or costs incurred during the period for which <br />the statement relates. Consultant's records aforesaid shall be <br />made available during the term of this agreement and for three <br />years after final payment to the Consultant at City offices <br />during regular business hours upon request of City. Payment <br />shall be made by City upon submittal of appropriate statements <br />therefor. <br /> <br /> 4. OWNERSHIP OF DOCUMENTS. All reports, programs, plans, <br />specifications, studies, photographs, recording, or other <br />documents or tangible things made or produced by Consultant in <br />completion of tasks assigned to it shall, upon submission or <br />delivery thereof to City, become the property of City. All <br />preliminary notes, personal memoranda, research, outlines, draft <br />documents or other documents or tangible things prepared or used <br />in preparation of matters to be submitted or delivered upon <br />completion of a task shall remain the property of Consultant. <br /> <br /> 5. ASSIGNMENT; SUBCONTRACT. Consultant shall not assign <br />its responsibilities under this agreement, without the prior <br />written consent of City. <br /> <br /> 2 <br /> <br /> <br />
