In ascertaining the services <br />actually rendered hereunder up to the date of termination of this <br />Agreement, consideration shall be given to both completed work <br />and work in the process of completion. <br /> <br /> 8. RECORDS. Consultant shall keep and maintain an <br />accurate record of costs incurred, and time expended relating to <br />all services to be compensated hereunder on the basis of costs to <br />Consultant, which records shall be available to City for review <br />thereof upon request therefor by City. <br /> <br /> 9. HOLD HARMLESS AND INSURANCE. Consultant shall hold <br />harmless, indemnify and defend the City of Redwood City, its <br />Council, boards, commissions, officers, employees and agents from <br /> <br /> losses or <br />claims for liability, . . damage arising out of <br /> <br />Consultant's willful ~ negligent acts, errors or <br />omissions during performance of this Agreement. <br /> <br /> Consultant shall acquire and maintain statutory <br />workers' compensation insurance coverage, employer's liability <br />insurance coverage, comprehensive general liability insurance <br />coverage, and professional liability insurance coverage (errors. <br />and omissions) to the satisfaction of the City. Errors and <br />omissions coverage shall not be less than Fifty Thousand Dollars <br />and No/00 ($50,000.00). <br /> <br /> 10. AMENDMENT. It is agreed that no alteration or <br />variation of the terms of this Agreement, or any subcontract <br />requiring approval of City, shall be valid unless made in writing <br />and signed by both parties hereto. <br /> <br /> 4 <br /> <br /> <br />
