ORIGINAL AMENDMENT NO.1 TO EXTEND AND AMEND AGREEMENT FOR AT-RISK CONSTRUCTION MANAGEMENT SERVICES/GENERAL CONTRACTOR SERVICES DURING CONSTRUCTION OF THE HISTORIC COURTHOUSE RECONSTRUCTION PROJECT (DPR Construction, Inc.) This Amendment No.1 is entered into and effective as of the ~ day of /J}M~/I , 2006, extending and amending the Agreement for At-Risk Construction Management Services/General Contractor Services During Construction of the Historic Courthouse Reconstruction Project ("Original Agreement") dated May 6, 2005, by and between the CITY OF REDWOOD CITY/REDEVELOPMENT AGENCY, a charter city and municipal corporation of the State of California ("City/Agency"), and DPR CONSTRUCTION, INC. OF Redwood City, California ("CM/GC") (collectively, the "Parties") for Phase II, Historic Courthouse Reconstruction, Courthouse Square. RECITALS A. The Parties entered into the Original Agreement for the purpose of having Contractor provide CM/GC Services during construction of the historic courthouse reconstruction project; and B. The Parties desire to alter the Agreement's scope of work to include CM/GC Services for Phase II, Courthouse Square, and the Parties now wish to amend the Original Agreement to extend the term of this Agreement through to October 31, 2006; and C. The Parties have negotiated and agreed to a supplemental scope of work for Phase II, Historic Courthouse Reconstruction, Courthouse Square, which is attached to and incorporated in by this reference as Exhibit "C-2," and shall be added to Exhibit "C", Preliminary Budget Estimate of the Agreement. NOW, THEREFORE, in consideration of the above Recitals and the following mutual covenants and obligations contained herein, the Parties agree as follows: 1. That paragraph A of the RECITALS of the Original Agreement is hereby amended to read as follows: "The City/Agency is reconstructing the exterior portico of the Historic San Mateo County Courthouse, including replacing the entry portico and parapets on the existing building, and reconstructing the Courthouse Square located at 2200 Broadway, Redwood City, California (the "Project")." 2. That paragraph C of Section 5 of the Original Agreement, entitled "Limit on FAP" is hereby amended to read as follows: "The FAP shall not exceed the sum of Ten Million Three Hundred Sixty Five Thousand Three Hundred Forty Eight and No/100 Dollars ($10,365,348.00) subject to (B) of this section and the other terms and conditions of this Agreement and the documents incorporated herein, such as General Conditions.
