EXHIBIT A-1 <br />(First Amendment) <br />TERMS AND CONDITIONS <br />A. City Hours of Operation. The time set forth in this Section for use of the Parking <br />Structure and the Parking Lot (collectively "Parking Spaces") by the public are, for the <br />purposes of this agreement, the "City Hours of Operation". The City Hours of Operation <br />will be every Friday commencing at 4:00 p.m. and ending each Monday at 2:00 a.m., <br />except when County holidays fall on a Monday. For each County holiday that is on a <br />Monday, City Hours of Operation will include such holiday, and will end at 2:00 a.m. on <br />Tuesday. A list of the County holidays is attached to the Agreement as Exhibit "B". The <br />list of County holidays may be amended from time to time by County so long as City <br />receives said amended list at least thirty days prior to implementation. <br />Additional Hours of Operation. Subject to termination as herein set forth, the City <br />Hours of Operation include access to the Parking Spaces every Monday through <br />Thursday from 6:30 p.m. to 2:00 a.m. of the following day (the "Additional Hours"). The <br />Additional Hours will be included in the City Hours of Operation unless the County <br />Manager provides to the City in writing sixty (60) days notice that the Additional Hours <br />are disruptive to the County's use of the Parking Spaces. Within sixty days of receipt of <br />such notice, the City will discontinue use of the Parking Spaces during the Additional <br />Hours of Operation, and the City Hours of Operation will thereafter be as originally set <br />forth in Exhibit A of the Agreement. In such event, City will, at its own cost, replace or <br />modify any signs in the Parking Structure or the Parking Lot as necessary to manage <br />the use of the Parking Spaces in a manner that is consistent with this Agreement. With <br />written approval of the County Manager, the City Hours of Operation may be increased <br />provided that such additional City use does not interfere with County use of the Parking <br />Structure and Parking Lot. <br />B. Number of Parking Spaces. Approximately six hundred forty-six (646) spaces <br />located on levels one (1) through five (5) in the Parking Structure and one hundred fifty- <br />one (151) at grade spaces in the Parking Lot (collectively, the "Parking Spaces"). <br />County cannot guarantee the availability to City of all of the Parking Spaces. Any <br />unused spaces will, pursuant to the terms of this Agreement, be made available to the <br />City for use by the general public during the City Hours of Operation. <br />C. Location of Parking Spaces. The Parking Spaces will be located at or above <br />grade. <br />D. Key System. City will, at its own cost, reprogram or replace the existing <br />entry/exit vehicle gates as necessary, and ensure that such new gates are compatible <br />with the existing County key system. <br />3 <br />
