<br />Superintendent, its officers, employees or agents in the performance of any services or work <br />pursuant to this Agreement. <br /> <br />III. <br /> <br />CITY'S RESPONSIBILITIES <br /> <br />The City shall: <br /> <br />1. The date of this agreement shall commence on April 18, 2005 and shall conclude on June 30, <br />2006. <br /> <br />2. Return two executed original Agreements to the office of the County Superintendent no later <br />than May 6th, 2005. <br /> <br />3. Agree to render Services that are defined in the attached Scope of Work (Attachment A), <br />which is incorporated by this reference in accordance with this Agreement's terms and <br />conditions. Kristen Anderson, the City's Child Care Coordinator, will provide Services on <br />behalf of the City. <br /> <br />4. Perform the Services in City's own way as an independent contractor and in pursuit of City's <br />independent contractor and in pursuit of City's independent calling and not as an employee <br />of the County Superintendent. The person( s) used by City to provide services under this <br />Agreement will not be considered employees of the County Superintendent for any purpose. <br /> <br />5. Provide quarterly itemized invoices for costs necessary to complete attached Scope of Work. <br />In the event that the County Superintendent makes any advance payments, Delegate Agency <br />agrees to refund any amounts in excess of the amount owed by the County Superintendent at <br />the time of contract termination. <br /> <br />6. Provide semi-annual activities and expenditure progress reports to the County <br />Superintendent. Progress reports will be due upon the following schedule: <br />. Year 1 -June 30, 2005 <br />. Year 2 - December 31, 2005 and June 30, 2006 <br /> <br />7. Reserve the right to terminate this Agreement for any material breach of this Agreement by <br />the County Superintendent by using the following procedure. If Delegate Agency believes <br />the County Superintendent has materially breached this Agreement, it shall provide written <br />notice to the County Superintendent specifically indicating the basis for the material breach. <br />The County Superintendent shall have 30 days ftom receipt ftom the written notice to cure <br />such breach. If, after 30 days the County Superintendent fails to cure the breach, the Delegate <br />Agency shall provide 30 days written notice to terminate the contract. <br /> <br />8.
