4. Nonexclusive Easement. The easements granted in this Agreement are nonexctusive. Grantor <br />retains the right to make any use of the Easement Area, including the right to grant concurrent easements <br />in the Easement Area to third parties, that does not interfere unreasonably with Grantee's free use and <br />enjoyment of the easements. <br /> <br /> 5. Maintenance of Bridge. Grantee, at Grantee's sole cost and expense, shall maintain the <br />Bridge in a good, clean and orderly condition and in good repair. Should Grantee fail to comply with this <br />Paragraph 5, Grantor reserves the right to bring the Bridge to a good, clean and orderly condition and in good <br />repair, and to charge Grantee for the costs of these efforts. <br /> <br /> 6. Easement Area Improvements. Grantor and Grantee agree that there currently exists a <br />bridge located within the Easement Area and that such bridge, at the time of construction, was constructed <br />in conformance with all applicable laws, statutes, ordinances, rules, and regulations and with the approval <br />of the City. Such existing bridge shall be included within the def'mition of Bridge in this Agreeunent. No <br />other bridges shall be constructed in the Easement Area unless expressly approved by City. Grantee, at <br />Grantee's sole cost and expense, shall remove and relocate or otherwise alter any bridge structure as <br />reasonably required by City in connection with the installation, maintenance or improvement of any street, <br />utility or storm drainage facilities within the Marsh Road right of way. <br /> <br /> 7. Insurance. Grantee shall acquire and maintain commercial general liability insurance <br />coverage against claims for death or bodily injury and property damage incurred upon or about the Easement <br />Area. The minimum amounts of coverage for the required general liability insurance shall be as follows: <br />$1,000,000 per occurrence and $2,000,000 aggregate for Bodily injury, personal injury and property damage. <br />The insurance will be obtained from an insurance carder admitted and authorized to do business in the State <br />of California. The insurance carrier is required to have a current A.M. Best's Key Rating of not less than <br />"A-","V". <br /> <br /> Concurrently with the execution of this Agreement, Grantee shall furnish Grantor with certificates <br />of the Insurance and endorsements required hereunder providing for the following: <br /> <br /> (a) Precluding cancellation or reduction in coverage before the expiration of thirty (30) <br /> days after Grantor shall have received written notification of cancellation or <br /> reduction in coverage by first class mail; <br /> <br /> (b) Providing that Grantee's insurance shall apply separately to each insured against <br /> whom claim is made or suit is brought, except with respect to the limits of the <br /> insurer's 1/ability (cross liability endorsement); <br /> <br /> (c) Naming the City of Redwood City, its Council, officers and boards, commissions, <br /> employees, and agents, as additional insureds; and <br /> <br /> (d) Providing that Grantee's insurance coverage shall be primary insurance with respect <br /> to Grantur, its Council, officers, boards, commissions, employees, and agents, and <br /> any insurance or self-insurance maintained by Grantor for itself, its Council, <br /> officers, boards, commissions, employees, or agents shall be in excess of Grantee's <br /> insurance and not contributory with it. <br /> <br /> Page 2 of 4 <br /> <br /> <br />
