Amended Contract

CONTRACT FOR VIDEOTAPING SERVICES
Between the Mid-peninsula Access Corporation and Redwood City

The Mid-Peninsula Access Corporation (MP AC) will videotape city council meetings of
Redwood City beginning March 9, 1999 through May 1999, and possibly longer if
requested with four weeks advance notice. Should the contract be extended, then the rates
will remain the same until January 1st, 2000. MPAC will provide its "Studio-in-a-Box"
video system which includes three cameras, a switcher, overlaid titling, and an S- VHS
recording deck.

Redwood City will provide a connection from its audio p.a. system to the MP AC
equipment. The city will make the council chambers available for equipment setup at least
2.5 hours before the meeting starts. The city will fax or bring to MP AC, all of the material
for video titling (like agenda items) by 5 pm on the Friday before the meeting.

MP AC will work with the City and their cable operator to provide a high quality signal for
transmission, but will not be responsible for the quality of the transmission itself over
TCl's cable system. MP AC will make personnel and equipment available for transmission
tests outside of the City Council meeting times at the same rate that is charged during
meeting coverage, however, MP AC may ask the City for authorization to bring in a
consulting engineer at the city's expense, to help resolve transmission issues. The
transmission testes) will be conducted before the March 9 meeting, but will continue
beyond March 9, if necessary.

The cost of video coverage with the Studio-in-a-Box for a three hour meeting comes to
$710. Additionally, there will be a $30 per hour charge for titles preparation before each
meeting. Should a city council meeting run longer than three hours, then each additional
hour of meeting coverage will add $80 to the fee. MP AC will charge for a minimum of
two hours of meeting coverage which comes to $600. If the crew works over eight hours,
then Redwood City will be billed at a rate of $120 for each overtime hour.

Payments are monthly and will be invoiced after the end of the month. Payment will be
made within thirty days of receipt of correct invoice.

MP AC equipment operators will implement written guidelines from the City regarding
camera placement, shot composition, camera zooms, the opening, and reaction shots.
MP AC equipment operators will not record sound or video during meeting recesses.

Before the March 9th meeting, MP AC will also conduct a site survey which could be
combined with a test of the cable transmission. Personnel and equipment fees will be
assessed at the same rate as during meeting coverage.

.--., T
