<br />ATTACHMENT C <br /> <br />SCHEDULE OF RENT PAYMENTS <br /> <br />Pursuant to Section 2(d) of the Agreement, the Rent payment set forth in this schedule shall be reduced <br />by the PG&E Credit which is payable to NORESCO by PG&E. So long as Customer does not experience a <br />Change in Use (as described in Section 8 of the Agreement) and/or does not remove or discontinue us of <br />the System (as such is defined in Section 8 of the Agreement), then the Parties agree that the PG&E <br />Credit shall be sufficient to fully offset Customer's obligation to make Rental Payments hereunder and <br />NORESCO shall not look to Customer for any such Rental Payments. Pursuant to Section 2(e) of the <br />Agreement, Customer shall have the right to purchase NORESCO'S interest in the System, provided that <br />Customer is not then in default of any obligation under the Agreement. The Purchase Price shall be equal <br />to the unpaid principal balance of Rent under the applicable Rent Schedule (excluding Rent otherwise due <br />and payable on the purchase date).
