("NORESCO") with ~espect to the installation of LED's which will reduce the City's electric demand and usage of its traffic signal installations within the City. As counsel for the City, I have examined the executed agreement between NORESCO and the City and based upon the examination of all facts, I am of the opinion that: 3. 1. The City is a municipal corpþration duly organized and validly existing under the law of the State! of California and has taken all actions required by it to approve and otherwise authorize execution of the agreement (Resolution No. 13784). The City has full tegal right, power, and authority to conduct i~s business to execute and deliver this agreement and perform all of its obligations under and to carry out and effectuate the transactions contemplated in this agreement. The City Council has authqrized the City Manager to execute this agreement. By such authorization the signature of the City Manager, duly attested by the City; Clerk or a duly authorized deputy, acknowledges the genuineneSs of the signature appearing thereon. 2. The agreement constitutes a I tegal, valid, and binding obligation of the City enforceable in accordanc~ with its terms.
