("NORESCO") with ~espect to the installation of LED's which will <br />reduce the City's electric demand and usage of its traffic signal installations within the <br />City. <br /> <br />As counsel for the City, I have examined the executed agreement between <br />NORESCO and the City and based upon the examination of all facts, I am of the <br />opinion that: <br /> <br />3. <br /> <br />1. <br /> <br />The City is a municipal corpþration duly organized and validly existing <br />under the law of the State! of California and has taken all actions <br />required by it to approve and otherwise authorize execution of the <br />agreement (Resolution No. 13784). The City has full tegal right, power, <br />and authority to conduct i~s business to execute and deliver this <br />agreement and perform all of its obligations under and to carry out and <br />effectuate the transactions contemplated in this agreement. <br /> <br />The City Council has authqrized the City Manager to execute this <br />agreement. By such authorization the signature of the City Manager, <br />duly attested by the City; Clerk or a duly authorized deputy, <br />acknowledges the genuineneSs of the signature appearing thereon. <br /> <br />2. <br /> <br />The agreement constitutes a I tegal, valid, and binding obligation of the <br />City enforceable in accordanc~ with its terms. <br />
