This Agreement integrates all of the terms and <br /> conditions mentioned herein or incidental hereto, and supersedes <br /> all negotiations or previous agreements between the parties with <br /> respect to all or any part of the Property and the development <br /> thereof. Specifically, and without limiting the effect of this <br /> Section, this Agreement supersedes the Memorandum of Under_standing <br /> entered into between the Agency and the Developer, but shall have <br /> no effect on the Loan Agreement between the parties. <br /> c. None of the terms, covenants, agreements or <br /> conditions set forth in this Agreement shall be deemed to be merged <br /> with the Grant Deed conveying title to the Property, and this <br /> Agreement shall continue in full force and effect before and after <br /> such conveyance until issuance of the Certificate of Completion for <br /> the Property. <br /> d. Al1 waivers of the provisions of this Agreement and <br /> all amendments hereto must be in writing and signed by the <br /> appropriate authorities of the Agency and the Developer. <br /> ARTICLE VIII <br /> TIME FOR ACCEPTANCE OF AGREEMENT BY AGENCY AND RECORDATION <br /> Section 8 . 01 . Execution and Recordation. <br /> a. Following its execution by the Developer and prompt <br /> delivery thereafter to the Agency, this Agreement must be approved, <br /> executed and delivered by the Agency to the Developer in order to <br /> be effective or enforceable against the Agency. The date of this <br /> Agreement shall be the date when the Agreement is approved by the <br /> Agency. <br /> b.
