<br />8. <br /> <br />Status. Each of the parties hereto are independent contractors, <br /> <br />and no one party shall be deemed an employee or agent of the other party. <br /> <br />9. <br /> <br />GoverninQ Law. The performance of the parties hereunder and <br /> <br />, the interpretation of this agreement, shall be governed by the laws of the State of <br />California. <br /> <br />10. <br /> <br />Reserved RiQhts. This agreement pertains solely to a remedy of <br /> <br />the Event. Nothing herein contained shall be deemed a waiver of any right or <br /> <br />remedy of any of the parties with respect to the Event or with respect to the <br /> <br />original construction of the Facility, and the parties hereunder hereby <br /> <br />respectively reserve all rights and remedies with respect thereto. <br /> <br />11. <br /> <br />No Admission. The entering into of this agreement, the respective <br /> <br />contributions of the parties hereunder, and all other terms and conditions hereof. <br /> <br />shall not be construed as an admission of liability by any of the parties as to the <br />Event, and each and all of the parties do hereby expressly deny any such liability <br /> <br />for themselves as against the others. <br /> <br />12. <br /> <br />Attorney's Fees. In any suit or other proceeding of adjudication <br /> <br />(including arbitration, if such proceeding be agreed upon by all of the parties) <br /> <br />brought to enforce the provisions of this agreement, by one party against one or <br /> <br />both of the other parties, the prevailing party or parties in such suit or proceeding <br />(whether in law or in equity) shall be entitled to reasonable attorney's fees. <br /> <br />13. <br /> <br />ParaQraph HeadinQs. <br /> <br />Paragraph headings and subparagraph <br /> <br />headings as used herein are for convenience only, and shall not be deemed to <br /> <br />Agmt-194 <br />f\sh\sh\RC\Councii <br />DES:rg <br />09/09/98; 02/08/99R; 03101/99R <br /> <br />11 <br />
