<br />knowiedge, it being intended that any such statement delivered pursuant hereto may be <br />relied upon by Landlord and any prospective purchaser or lessee of the Building, or any <br />trustee or beneficiary under any deed of trust affecting the Building. Tenant and <br />Subtenant also agree to execute and deliver from time to time such other estoppel <br />certificates as an institutional lender may require with respect to the Sublease. <br /> <br />17. In the event of any arbitration or action or proceeding at law or in equity <br />between or among the parties to this consent to sublease as a consequence of any <br />controversy, claim or dispute relating to this agreement or the breach thereof or to <br />enforce any of the provisions and/or rights hereunder, the unsuccessful party or parties to <br />such arbitration, action or proceeding shall pay to the successful party or parties aU costs <br />and expenses, including attorneys' fees incuaed therein by such successful party or <br />parties, and if such successful party or parties shall recover judgement in any such <br />arbitration, action or proceeding, such costs, expenses and fees shall be included in and as <br />part of such judgement. <br /> <br />18. The execution of a copy of this consent by Subtenant shall constitute <br />Subtenant's acknowledgement that it has received a copy of the Master Lease from <br />Tenant. <br /> <br />19. Landlord hereby grants Subtenant approval to have said premises painted <br />with Kelly Moore Paint product 1640~36 Navajo White. Subtenant acknowledges <br />responsibility for making payment to contractor for painting services. <br /> <br />20. Landlord hereby agrees to provide and install carpet in Suites #513, and <br />#515, and #520 with the exception of three rooms, the Finance Director's office, the <br />assistant Finance Director's office and the tile computer room. The Tenant or Subtenant <br />will be responsible for the moving and replacement of all fwniture and fIXtures in Suites <br />#513 and #515 and #520. All carpet installation will be provided during nonnal business <br />hours, Monday through Friday 8 A.M. to 5 P.l\,1. <br /> <br />21. Tenant hereby agrees to pay in advance a security, cleaning and damage <br />deposit in the amount of Five Thousand Dollars ($5,000.00) to be held in an interest <br />bearing account by Landlord for the cleaning and repairing of the carpet after suaender <br />of the premises. Tenant and Subtenant acknowledges that at the time of occupancy the <br />premises are received in a clean condition with new carpet. At the tennination of this <br />tenancy, it shall be the Tenants responsibility to return the premises in the same <br />condition, reasonable wear and tear expected. The deposit and interest earned shall be <br />refunded to the tenant within fourteen (14) days after tenant vacates the premises and <br />returns the keys, less all charges for cleaning, repairing, damage or replacement of any <br />carpet to compensate Landlord for loss or damage caused by Tenant or Subtenant. <br /> <br />6 <br />
