<br />ORIGINAL <br /> <br />AMENDMENT NO.1 TO EXTEND AND AMEND AGREEMENT FOR <br />SPECIAL COUNSEL SERVICES <br />Hanson Bridgett Marcus Vlahos Rudy, LLP <br /> <br />This Amendment No.1 is entered into and effective as of the 10th day of <br />February, 2005, extending and amending the agreement dated February 9, 2004, (the <br />"Agreement") by and between the City of Redwood City, a charter city and municipal <br />corporation of the State of California ("City"), and Hanson Bridgett Marcus Vlahos Rudy, <br />LLP, ("Consultant") (collectively, the "Parties") for environmental, regulatory and long- <br />term planning of potable water supply and use of recycled water for non-potable <br />applications. <br /> <br />RECITALS <br /> <br />A. The Parties desire to "extend and fund the Agreement for a period of one <br />(1) year"; and <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. That the Agreement, as may have been amended from time to time, is <br />hereby extended for a period of one (1) year ending on February 10, 2006, and <br />Consultant will be paid on a hourly basis up to the not to exceed amount of eighty <br />thousand dollars ($80,000.00). <br /> <br />2. All other provisions of the Agreement, as may have been amended from <br />time to time, will remain in full force and effect. <br /> <br />3. All requisite insurance policies to be maintained by the Consultant <br />pursuant to the Agreement, as may have been amended from time to time, will include <br />coverage for this Amendment. <br /> <br />4. The individuals executing this Amendment and the instruments referenced <br />in it on behalf of Consultant each represent and warrant that they have the legal power, <br />right and actual authority to bind Consultant to the terms and conditions of this <br />Amendment. <br /> <br />Amendment to AddTime-ChangeScope-FeeSchedule <br />City Attorney Approved Version 090103 1 <br />
