<br />of or a burden upon the Property, as appropriate, runs with the Property and is <br /> <br />binding upon each successive owner of a fee interest in the Property. <br /> <br />Section 5.06 Miscellaneous. <br /> <br />(a) This Agreement shall apply to, bind, and inure to the benefit of <br /> <br />successors in interest of the parties hereto, including heirs, assigns, executors, <br /> <br />administrators, and all other parties, whether they succeed by operation of law or <br /> <br />voluntary acts of City or Owner. <br /> <br />(b) This Agreement may be amended in writing by the mutual agreement <br /> <br />of the original parties or their successors in interest. <br /> <br />(c) This Agreement shall be construed and enforced in accordance with <br /> <br />the laws of the State of California. <br /> <br />(d) This Agreement constitutes the entire understanding and agreement <br /> <br />of the parties and supersedes all prior understandings, negotiations or <br /> <br />agreements between the parties with respect to all or any part of the subject <br /> <br />matter hereof. <br /> <br />(e) This Agreement has been reviewed by legal counsel for the parties, <br /> <br />and no presumption or rule that ambiguities shall be construed against the <br /> <br />drafting party shall apply to the interpretation or enforcement of this Agreement. <br /> <br />Section 5.07 Other Improvements. This Agreement does not in any <br /> <br />way include improvements required by City pursuant to conditions set forth by <br /> <br />City, which conditions shall be the subject of an improvement agreement, and <br /> <br />which conditions include but are not limited to: improvements regarding parking, <br /> <br />Agmt-165 <br />f/sh/sh/RC/Council <br />FXS:rg <br />07/01/98; 07/17/98R107/22/98 <br /> <br />13 <br />
