<br />Oh .. ii/lulL <br /> <br />AGREEMENT <br />for <br />AUDITING SERVICES <br /> <br /> <br />-IIi <br />THIS AGREEMENT, made and entered into this ~....:-- day of <br />, 1998, by and between the CITY OF REDWOOD CITY, a <br />corporation of the State of California ("City"), and MAZE & <br />ASSOCIA TES, an Accountancy corporation of the State of California, ("Auditor"); <br /> <br />WITNESSETH: <br /> <br />WHEREAS, City requires expert professional services to conduct annual <br />fiscal year audits of its funds, books and accounts; and <br /> <br />WHEREAS, Auditor represents that it is qualified to conduct such audits <br />and prepare reports thereon; and <br /> <br />WHEREAS, City desires to engage the services of Auditor for such <br />services; <br /> <br />NOW THEREFORE, the parties agree as follows: <br /> <br />1. AUDITOR'S SERVICES. Auditor shall perform all those certain <br />services described in Exhibit "A," entitled "Audit Scope and Provisions" (pages <br />14-19), which exhibit is attached hereto and by this reference incorporated <br />herein. The complete document, Auditor's Complete Response, is on file in the <br />office of the City's Director of Finance; provided, that in the event of any conflict <br />between the provisions contained in said complete document and this <br /> <br />Agreement, the provisions of this Agreement shall govern. <br /> <br />2. ~SATI9N: EXPENSES: PAYMENT.
