ORIGINAL ATTACHMENTG SYSTEM ACCEPTANCE AGREEMENT Following the installation of the new switches, the upgrade of the existing switches, and training of the staff, the City shall conduct a ten (10) working days acceptance test to confirm the systems are functioning as described in the manufacture's equipment operating specifications. In the event of rejection of the system by the City, the vendor shall have five (5) working days (the cure period) to correct the noted exceptions. During this cure period, the vendor will have full access to the switches. In the event the vendor does not correct the noted exception(s) within the cure period, the City may, at its options: 1) instruct the vendor to remove the switches from the City's premises and refund the full purchase price or any portion thereof paid by the City; or 2) extend the acceptance period for any number of successive acceptance periods, in which case the vendor shall have a cure period to correct the noted exception (s). At the end of any unsuccessful cure period, the City can, at its option, instruct the vendor to remove the switches from its premises and refund the full purchase price or any portion thereof paid by the City and this agreement shall terminate and shall be without any further force or effect and without obligation from either party to the other. At the end of the acceptance period or any successive acceptance period, or upon the successful completion of any cure period or successive cure period (extending the acceptance period), the City has not notified the vendor, the system will be deemed accepted and the final payment will become due.
