<br />NOW, THEREFORE, City and Agency agree as follows: <br /> <br />1. <br /> <br />Recitals. The Recitals above stated are true and correct and are hereby incorporated <br /> <br />by this reference. <br /> <br />2. <br /> <br />Acquisition of Bradford Street Property bv Ae:encv. <br /> <br />a. The execution of this Agreement by City shall constitute an offer to convey fee <br /> <br />title to the Bradford Street Property to Agency, subject to the terms and conditions stated herein. <br /> <br />b. The execution of this Agreement by Agency shall constitute an acceptance of <br /> <br />City's offer to convey fee title to the Bradford Street Property, subject to the terms and conditions <br /> <br />set forth herein. <br /> <br />c. <br /> <br />Agency's acceptance of City's offer to convey fee title to the Bradford Street <br /> <br />Property shall be conditioned on (1) the simultaneous transfer of fee title to the Broadway Avenue <br /> <br />Property from District to Agency; (2) a commitment in writing by City to District that the District <br /> <br />will be considered to have met on-site parking requirements for the building to be constructed on <br /> <br />the Bradford Street Property (the "Building"), by providing the lesser of the number of spaces <br /> <br />required by City's code provisions or the number of spaces that can be physically accommodated on <br /> <br />the Bradford Street Property; (3) a commitment by the City and District to work cooperatively and <br /> <br />in good faith to ascertain the District's additional parking needs based upon the number of <br /> <br />administrative employees on the maximum work shift working at the Bradford Street Property and a <br /> <br />commitment by City to endeavor to provide for such needs at no cost to the District; (4) a <br /> <br />commitment in writing by City to District, for the life of the Building, to provide for a loading and <br /> <br />unloading zone along the frontage of the Bradford Street Property sufficient in size to accommodate <br /> <br />a 23 foot-long truck, and (7) a commitment in writing by the City that the on-site parking on the <br />Agmt-193 <br />flsh/shlRC/Councii <br />FXS:rg <br />08/25/98 <br /> <br />2 <br />
