<br />10. Time of Essence. <br /> <br />Time is of the essence in carrying out the terms and conditions of this Agreement. <br /> <br />11. Additional Actions to Implement Agreement. <br /> <br />The parties acknowledge that it is impractical in a transaction of the nature set forth <br /> <br />in this Agreement to provide for, or anticipate, every action by Agency or City that may be required <br /> <br />to fully implement the Agreement. Agency and City agree to cooperate in good faith, and to take <br /> <br />any such additional actions that may be necessary to fully implement this Agreement. Agency <br /> <br />hereby authorizes the Executive Director of Agency to take any such actions, and execute any such <br /> <br />documents, on behalf of Agency as are required to fully consummate the transactions contemplated <br /> <br />under this Agreement. City hereby authorizes the City Manager to take any such actions, and <br /> <br />execute any such documents, on behalf of City as are required to fully consummate the transactions <br /> <br />contemplated under this Agreement. <br /> <br />12. Successors. <br /> <br />This Agreement shall be binding upon and shall inure to the benefit of the respective <br /> <br />successors or assigns of the parties hereto. <br /> <br />13. Counterparts. <br /> <br />This Agreement may be executed in counterparts, each of which shall be deemed an <br /> <br />original. <br /> <br />14.
