<br />ORIG\NAL <br /> <br />AGREEMENT <br /> <br />PROFESSIONAL CONSULTING SERVICES - UPGRADE OF FINANCIAL <br />APPLICATION SOFTWARE <br /> <br />THIS AGREEMENT, made and entered into this.22 ~day of <br /> <br />~ <br /> <br />, 1998, by and between the CITY OF REDWOOD CITY, a <br /> <br />municipal corporation of the State of California, ("City"), and THE WARNER <br /> <br />GROUP, of Woodland Hills, California ("Consultant"); <br /> <br />WITNESSETH: <br /> <br />WHEREAS, City proposes to upgrade its financial application software <br /> <br />(the "Project"); and <br /> <br />WHEREAS, in connection with the Project, the City requires professional <br /> <br />consulting services; and <br /> <br />WHEREAS, Consultant represents that it possesses the experience, and <br /> <br />is qualified to perform the aforesaid services for the Project; <br /> <br />NOW, THEREFORE, the parties hereto agree as follows: <br /> <br />1. CONSULTANT'S SERVICES. Consultant shall perform all of those <br /> <br />services described in Exhibit "A" hereof, attached hereto and by this reference <br /> <br />incorporated herein. <br /> <br />2. COMPENSATION: EXPENSES: PAYMENT. City shall compensate <br /> <br />Consultant for all services performed by Consultant hereunder in an amount <br /> <br />based upon Consultant's hourly rates that are prevailing during the time of the <br /> <br />performance of said services.
