<br />5. HOLD HARMLESS. Supplier hereby agrees to defend, indemnify and save <br /> <br />harmless City, its Council, boards, commissions, officers, employees and agents from <br /> <br />any and all suits or claims for injury to any person or persons or for any damage to <br /> <br />property arising out of the performance of this agreement or resulting from the <br /> <br />carelessness of Supplier, its agents or employees. <br /> <br />6. INDEPENDENT CONTRACTOR. It is hereby understood that in connection <br /> <br />with the performance of Supplier's obligations hereunder, Supplier is an independent <br /> <br />contractor and shall not be deemed to be an agent or employee of the City in the <br /> <br />performance hereof. <br /> <br />7. COMPENSATION: EXPENSES; PAYMENT. Supplier shall bill the City on a <br /> <br />monthly basis. All invoices shall be in duplicate, and sent to the City of Redwood City, <br /> <br />1017 Middlefield Road, Redwood City, California 94063. <br /> <br />8. THE CONTRACT.
