<br />!j~.q <br /> <br />City of Redwood City <br />Financial Advisory Agreement Scope of Services <br />Pacific Shores Cen ter <br />September 17, 1999 <br />Page 2 <br /> <br />. <br /> <br />Assist disclosure counsel and the underwriter prepare the preliminary <br />official statement for distribution by the underwriter and assist with <br />completion of the final official statement after the sale; <br /> <br />. <br /> <br />Prior to the sale, provide estimates of interest rates, prepare bond <br />sizing analyses, total project cost analyses and debt amortization <br />schedules; <br /> <br />. <br /> <br />Participate in all meetings with the financing team to assure that the <br />objectives of the City are met and that the terms of the financing are <br />compatible with the financial interests of the City; <br /> <br />. <br /> <br />Attend public hearings and participate in meetings and other <br />negotiations which may bear upon the approval of the financing and <br />the sale of the securities; <br /> <br />. <br /> <br />Supervise the flow of events to provide for a timely closing of the ~ <br />financing; <br /> <br />. <br /> <br />Ensure that all services incidental to the financing, such as trustee, <br />rating, registrar and paying agent, bond printing or book entry <br />services, CUSIP and DTC registration, official statement printing and <br />distribution, insurance (if cost-effective or otherwise desirable), etc. are <br />obtained in a timely fashion; <br /> <br />. <br /> <br />Attend public hearings and participate in meetings and other <br />negotiations which may bear upon the approval of the financing and <br />the sale of the bonds; <br /> <br />. <br /> <br />Provide suggestions regarding the best financing structure and the <br />best marketing structure and provide advice regarding the suitability <br />of underwri ter proposals; <br /> <br />. <br /> <br />Review and comment on all documents pertaining to the financing, the <br />securi ty therefor and the project to be financed; <br /> <br />. <br /> <br />Recommend revisions in the structure or security of the financing that <br />may be in the City's best interests; <br /> <br />Clarify the consequences of any financial decisions requested of the <br />City so that decisions may be made on a fully informed basis; <br /> <br />. <br /> <br />. <br /> <br />Review all numerical analyses provided by the underwriter for <br />accuracy, reasonableness of assumptions and consistency with the <br />City's financial objectives; <br /> <br />..
