~Ð-I1- AGREEMENT FOR BOND COUNSEL SERVICES THIS AGREEMENT (the "Agreement") is made and entered into this - day of , 2000, by and between the City of Redwood City, a municipal corporation of the State of California, whose address is 1017 Middlefield Road, Redwood City, CA 94063-0478 (the "City"), and Nossaman, Guthner, Knox & Elliott, LLP, a partnership including professional corporations ("NGK&E") whose address is 181Ol Von Karman Ave., Ste. l800, Irvine, California 92612. WITNESSETH: WHEREAS, the City desires to finance certain public improvements for the Pacific Shores Center (the "Project") through the preparation, sale and delivery of special tax bonds issued pursuant to the Mello-Roos Community Facilities District Act of 1982 for such purposes (the "Bonds"); and WHEREAS, NGK&E is specifically trained and experienced in preparing legal material in connection with the issuance of obligations such as the Bonds. ~ NOW, THEREFORE, in consideration of the covenants and premises herein contained and other good and valuable consideration, the parties hereto agree as follows: 1. Duties. NGK&E shall provide legal services in connection with preparing the material in connection with the issuance, sale, execution and delivery of the Bonds (the "Transaction"). Such services shall include, but not be limited to, the following: a. Conferring and consulting with the officers, administrative staff, special tax consultant, financial advisor, disclosure counsel, underwriter and other representatives of the City in connection with the preparation and formulation of the Transaction. b. Attendance at all meetings of the City and any administrative meetings at which the Transaction is to be discussed or otherwise deemed necessary for the proper planning of the Transaction, when requested to attend such meetings by the City. c. The preparation of the proceedings related to acquisition of the improvements being financed with the Bonds and the issuance and delivery of the Bonds. . d. Review of the official statement or disclosure document in connection with the Transaction to assist in the disclosure of all material facts within the knowledge of the City. e. Preparation of the continuing disclosure agreement of the City and, . if necessary, certain property owners. f.
