In the event that the Industrial <br /> Road Lines are not undergrounded within ten (10) years from the � date of this <br /> Agreement, City may at its sole discretion apply the Deposit, with interest thereon, to <br /> the undergrounding of utilities in the vicinity of the Property. <br /> 5. GOVERNING LAW. This Ag�eement shall be governed by the laws of <br /> the State of California and any suit or action initiated by either party shall be brought in <br /> the County of San Mateo, California. <br /> 6.
