�pA-� � �.$ <br /> Cable Service price to the total unbundled Cable Service and non-Cable Service <br /> price. <br /> (fl For the purposes of this Agreement, revenues collected from <br /> Subscribers for the Educational and Governmental capital grants of Exhibit "C," <br /> Paragraph 3, shall be included in Gross Annual Cable Service Revenues. <br /> (g) The fee shall be payable quarterly, by no later than the first <br /> day of the third month following the quarter for which payment is due. <br /> 3.3 Recovery of Processing Costs <br /> (a) Within sixty (60) days after receipt from Grantor of a written <br /> itemization, Grantee shall reimburse Grantor for its reasonable out-of-pocket <br /> costs incurred during the Franchise application process, not to exceed Twenty <br /> Thousand Dollars ($20,000). Such reimbursement shall not be debited against <br /> any Franchise Fees due the Grantor during the term of this Agreement. <br /> (b) To the extent that the reimbursement of (a) above may be <br /> itemized on Subscriber billing statement and recovered from Subscribers <br /> pursuant to applicable taw or regulation, said amount shall be amortized over the <br /> remaining term of this Agreement. <br /> 3.4 Payment to Grantor <br /> (a) No acceptance of any payment shall be construed as an <br /> accord that the amount is in fact the correct amount, nor shall such acceptance <br /> of payment be construed as a release of any claim the Grantor may have for <br /> further or additional sums payable under the provision of this Agreement. <br /> (b) The Grantor, on an annual basis, shall be furnished a <br /> statement within one hundred twenty (120) days of the close of the calendar <br /> year, either audited and certified by an independent certified public accountant or <br /> 11 <br /> sh/RWC/Council <br /> AGMT-382 <br /> FXS/fs <br /> 08/02/00 <br /> . _ <br />
