<br />qA'~ <br /> <br />Section 3. The City hereby approves membership by the City in ABAG F ANC <br /> <br />Section 4. The City hereby approves the form of, and authorizes and directs the Mayor, <br />Vice Mayor, City Manager or Finance Director of the City or any designee of such officer (the <br />"Designated Officers"), to execute and deliver the JP A Agreement, in substantially the form on <br />file with the City Clerk, and authorizes and directs the City Clerk to attest to such signature, <br />together with any changes therein deemed advisable by the Designated Officer signing the JP A <br />Agreement. <br /> <br />Section 5. The Designated Officers and other officers and officials of the City, are hereby <br />authorized and directed to take all actions and do all things necessary or desirable hereunder <br />with respect to membership in ABAG F ANC and the issuance and delivery of the Bonds, <br />including but not limited to the execution and delivery of any and all agreements, certificates, <br />instruments and other documents which they, or any of them, may deem necessary or desirable <br />and not inconsistent with the purposes of this resolution. <br /> <br />Section 6. The issuance and delivery of the Bonds shall be subject to approval by ABAG <br />F ANC of all financing documents relating thereto to which ABAG F ANC is a party and subject <br />to the sale of the Bonds by ABAG F ANC to the underwriter thereof. <br /> <br />Section 7.
