Lessor Responsibility: Lessor shall be responsible for providing appropriate zoning and <br />land use approvals required to facilitate the project and to approve the land lease. Lessor <br />shall not impose, or allow to be imposed, any GID 1-64 facility fee or fee in lieu there of. <br />Lessee shall ensure that the access and utility easements serving the Child Care site <br />remain permanent and survive the lease period. Lessor shall allow recordation of an <br />avigation easement on the property if required by the Airport Land Use Commission. <br /> <br />8. Long Term Financing. Lessor shall provide long term financing for the project in <br />conformance with Attachment 4. <br /> <br />9. Assignment: The land lease (including use restrictions) shall be assignable by Lessee to <br />Construction Lenders and in the event of a refinancing or sale, etc. <br /> <br />10. Title and Survey: Lessee shall obtain a title commitment and survey and shall pay any <br />title policy costs required. Lessor shall make customary representations and warranties <br />regarding title, pending litigation and violation of applicable laws and ordinances. <br /> <br />11. Legal Effect: Lessee and Lessor each acknowledges that a transaction of this type <br />involves terms ánd conditions which have not yet been agreed upon and that this term <br />sheet is not intended to be legally binding, complete or a definitive statement of all the <br />terms and conditions of the proposed lease. Lessor and Lessee shall attempt, in good <br />faith, to negoti~te and execute a lease agreement in general conformance with this term <br />sheet. <br /> <br />12. Competitive Bid: Lessee acknowledges that the land lease must be competitively bid and <br />awarded to the highest conforming bid, and that Lessor shall not be responsible for any <br />costs of Lessee prior to execution of the land lease. <br />
