<br />~-7 <br /> <br />Concurrently with the execution of this agreement, Association shall <br />furnish Agency with certificates and copies of information or declaration pages <br />of the insurance required hereunder and, with respect to evidence of <br />comprehensive general liability and automobile liability insurance coverage, <br />original endorsements: <br /> <br />(a) Precluding cancellation or reduction in coverage before the <br />expiration of thirty (30) days after Agency shall have received written <br />notification of cancellation or reduction in coverage for first class mail; <br /> <br />(b) Providing that Association's insurance shall apply separately to <br />each insured against whom claim is made or suit is brought, except with <br />respect to the limits of the insurer's liability (cross liability endorsement); <br /> <br />(c) Naming the Agency and its Board, the City of Redwood City and <br />its Council, and their respective officers, boards, commissions, employees <br />and agents, as additional insureds; and <br /> <br />(d) Providing that Association's insurance coverage shall be primary <br />insurance with respect to the Agency and its Board, the City of Red wood <br />City and its Council, and their respective officers, boards, commissions, <br />employees and agents, and any insurance or self-insurance maintained by <br />the Agency for itself, its Board, commissions, employees, or agents or by <br />the City of Redwood City for itself, its Council, officers, boards, <br />commissions, employees and agents shall be excess of Association's <br />insurance and not contributory with it. <br /> <br />8. Assi~nment and Subcontract. (a) Without the written consent of the <br />Agency, this Agreement is not assignable in whole or in part. Any assignment <br />by Association without the written consent of the Agency violates this <br />Agreement and shall automatically terminate this Agreement. <br /> <br />(b) All assignees approved by Agency, and subcontractors or <br />consultants engaged by Association to perform work related to the <br />Improvements shall be subject to the same terms and conditions applicable to <br />Association under paragraphs 12, 13, 17 and 18 of this agreement, and the <br />Association shall be liable for the assignee's, subcontractors or consultant's acts <br />and / or omissions. <br /> <br />(c) All agreements between Association and subcontractor and/or <br />assignee for services pursuant to this Agreement shall be in writing and shall be <br />provided to the Agency upon request. <br /> <br />9. Compliance with Applicable Laws.
