<br />Notwithstanding the foregoing, the Agency may terminate this agreement
<br />if it has determined that the funds provided hereunder have been, or are being,
<br />used for purposes other than those described in Exhibits "A".
<br />
<br />Nothing contained in this paragraph shall be deemed to limit the right of
<br />the parties to terminate this agreement for cause or otherwise to exercise any
<br />right or pursue any remedy which may accrue to them.
<br />
<br />14. Non-Discrimination and Equal Opportunity. Association hereby
<br />warrants and agrees that, in the performance of this agreement, it will not, in
<br />connection with the employment, advancement, or discharge of employees, or in
<br />connection with the terms, conditions, or privileges of their employment,
<br />discriminate against persons because of their age, except upon the basis of a bona
<br />fide occupational qualification, retirement plan, or statutory requirement, and
<br />will not specify, in solicitations or advertisement for employees to work on the
<br />Improvements, a maximum age limit, unless such limit is based upon a bona fide
<br />occupational qualification, retirement plan or statutory requirement.

<br />Association further warrants and agrees that it will comply with all
<br />provisions of executive Order 11246 of September 24, 1965, and of the rules,
<br />regulations, and relevant orders of the Secretary of Labor; and that it will not
<br />discriminate against any employee or applicant for employment because of race,
<br />color, religion, sex, national origin or disability. Association will take affirmative
<br />action to ensure that applicants are employed, and that employees are treated
<br />during employment, without regard to their race, color, religion, sex, national
<br />origin or disability. Such action shall include, but not be limited to, the
<br />following: employment, upgrading, demotion, or transfer, recruitment or
<br />recruitment advertising; layoff or termination; rates of payor other forms of
<br />compensation; and selection for training, including apprenticeship.

<br />15. Non-Discrimination Based on Disability. Association hereby
<br />agrees that it will comply with the provisions of Section 504 of the Rehabilitation
<br />Act of 1973, as amended, providing equal access and reasonable accommodations
<br />in employment programs and services to person who are disabled.
<br />
<br />16. Financial Statement and Final Report. Association shall keep detailed
<br />and accurate records of all expenditures made and expenses incurred which are
<br />funded under this Agreement. Association shall make available to Agency, upon
<br />request, a financial statement and analysis setting forth in detail the manner in
<br />which, and the specific purposes for which, the funds paid hereunder were
<br />expended to the date of such accounting. In addition to the foregoing, and in any
<br />event, Association shall submit to Agency no later than thirty days from the
<br />date this Agreement terminates a detailed financial statement setting forth the
<br />foregoing information, accompanied by a narrative report describing the
<br />activities funded and the objectives achieved under this Agreement(the "Final
<br />Report").
