The City is a municipal corporation duly organized and validly existing <br /> under the law.of the State of Califomia and has taken all actions required <br /> by it to approve and otherwise authorized execution of the agreement <br /> (Resolution No. ). The City has full legal right, power, and <br /> authority to conduct its business to execute and deliver this agreement <br /> and perform all of its obligations under and to carry out and effectuate the <br /> transactions contemplated in this ag�eement. <br /> 2. The City Council has authorized the Ciry Manager to execute this <br /> agreement. By such authorization the signature of the Ciry Manager, duly <br /> attested by the City Clerk or a duly authorized deputy, acknowledges to <br /> genuineness of the signature appearing thereon. <br /> 3. The agreement constitutes a legal, valid, and binding obligation of the <br /> Ciry enforceable in accordance with its terms. <br />
