There is a five-story office building ("Building") located on the Property. <br /> <br />B. Owner has entered into a lease agreement ("Lease Agreement") dated May 14, <br />2002, with Sports Medical Management, Inc., A Medical Group, a California corporation ("Sports <br />Medical Management"), whereby Sports Medical Management has leased premises on the first <br />floor of the Building as more particularly described in the Lease Agreement ("Sports Medical <br />Management Premises"). The Lease Agreement permits the Sports Medical Management <br />Premises to be used for medical offices and other related legal uses ("Permitted Uses"). <br /> <br />C. In connection with the Lease Agreement, Owner made application to City for a <br />variance to City's parking requirements to enable the Sports Medical Management Premises to <br />be used for the Permitted Uses. <br /> <br />D. On June 26, 2002, the Zoning Administrator of City granted a variance ("Variance") <br />to Owner on the condition that a restriction be recorded against the Property with the San Mateo <br />County Recorder's Office. The Variance is evidenced by, and the terms and conditions thereof, <br />are contained in a Notice of Official Action dated August 28, 2002. <br /> <br />Restrictions and Conditions <br /> <br />In no event, at any time during the term of the Lease Agreement, will the number of Sports <br />Medical Management employees who work at the Sports Medical Management Premises, exceed <br />seventy-four (74); provided, however, this maximum number may be increased to eight-one (81), <br />provided that the doctor-to-staff ratio and the full-time to part-time staff ratio that currently exists <br />with the 74 employee staffing at Sports Medical Management's existing facility at 2884 Sand Hill <br />Road, Suite 110, Menlo Park, California ("Sports Medical Management's Existing Facility"), is not <br />increased. The current doctor-to-staff ratio at Sports Medical Management's Existing Facility is <br />1 :9.
