NOTICE OF SPECIAL RESTRICTIONS RWC Technology Station, LLC, a California limited liability company ("Owner") , owner of that certain real property situated in the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and in tile County of San Mateo, State of Californ¡a more particularly described in Exhibit "A," attached hereto and incorporated herein by reference (the "Property"), gives notice as set forth herein. k,? I RECITALS: A. There is a five-story office building ("Building") located on the Property. B. Owner has entered into a lease agreement ("Lease Agreement") dated May 14, 2002, with Sports Medical Management, Inc., A Medical Group, a California corporation ("Sports Medical Management"), whereby Sports Medical Management has leased premises on the first floor of the Building as more particularly described in the Lease Agreement ("Sports Medical Management Premises"). The Lease Agreement permits the Sports Medical Management Premises to be used for medical offices and other related legal uses ("Permitted Uses"). C. In connection with the Lease Agreement, Owner made application to City for a variance to City's parking requirements to enable the Sports Medical Management Premises to be used for the Permitted Uses. D. On June 26, 2002, the Zoning Administrator of City granted a variance ("Variance") to Owner on the condition that a restriction be recorded against the Property with the San Mateo County Recorder's Office. The Variance is evidenced by, and the terms and conditions thereof, are contained in a Notice of Official Action dated August 28, 2002. Restrictions and Conditions In no event, at any time during the term of the Lease Agreement, will the number of Sports Medical Management employees who work at the Sports Medical Management Premises, exceed seventy-four (74); provided, however, this maximum number may be increased to eight-one (81), provided that the doctor-to-staff ratio and the full-time to part-time staff ratio that currently exists with the 74 employee staffing at Sports Medical Management's existing facility at 2884 Sand Hill Road, Suite 110, Menlo Park, California ("Sports Medical Management's Existing Facility"), is not increased. The current doctor-to-staff ratio at Sports Medical Management's Existing Facility is 1 :9. The current full-time to part-time staff ratio at Sports Medical Management's Existing Facility is 17:1.
