Termination: (a) Any party to this Agreement may voluntarily terminate its participation upon giving one hundred eighty (180) days advance written notice to all other parties. All nutstanding debts of the terminating party arising out of this Agreement on or prior to the date of termination shall be paid within thirty days after date of termination. Upon termination, the terminating party will forfeit all rights to any reimbursement or proceeds from the future sale of the simulators, as provided for in Subsection 13(c) below. The simulators and all related equipment and supplies purchased under this Agreement will become the property of the remaining SMCTG members. In the event of termination of this Agreement by all but one of the SMCTG members, the last remaining member shall be entitled to the ownership and possession of the simulators and related equipment and supplies and the terminating members shall execute and deliver all necessary documents to place ownership of the such property in the last remaining non-terminating member. If Brisbane terminates its participation, the remaining SMCTG members shall meet and renegotiate this Agreement. (b) An automatic and involuntary termination by an SMCTG member shall occur if the annual assessment to the Maintenance Fund is not paid within 180 calendar days from the date of the billing by Brisbane. All outstanding debts arising on or prior to the automatic termination date shall remain due and payable until satisfied by the terminating member. (c) In the event of termination of this Agreement and dissolution of SMCTG by unanimous consent of all members, the members of SMCTG shall be given the first opportunity to purchase the simulators for a price and terms to be agreed upon between the purchasing member(s) and the remaining members. If no member of SMCTG is interested in purchasing the simulators, they shall be disposed of by sale in accordance with the procedures normally followed by Brisbane for disposition of surplus equipment, or as otherwise determined by the SMCTG members.
