<br />hereunder if the City commences such cure within such thirty (30) day period and <br />thereafter diligently and continuously pursues such cure to completion. Any failure or <br />delay by Licensor to provide any default notices (if required) to the City or to assert any <br />of its rights and remedies as to any breach or default by the City under this Agreement <br />shall not deprive Licensor of its right to later institute and maintain any action or <br />proceeding which it may deem necessary to protect, assert or enforce any such rights and <br />remedies. <br /> <br />7. Remedies. If the City fails to cure any material breach or material default <br />within the cure periods set forth in Section 6 above, then Licensor shall have the <br />immediate right, at its sole option, to terminate this Agreement and/or to institute any <br />legal or equitable action to cure, correct or remedy any default, to recover damages for <br />any default, or to obtain any other remedy consistent with the purposes of this Agreement, <br />including, without limitation, specific performance and/or injunctive relÍef (both <br />mandatory and prohibitory), abatement proceedings, constructive trust or equitable liens. <br />The rights and remedies of Licensor are cumulative, and the exercise by Licensor of one <br />or more of such rights or remedies shall not preclude the exercise by it, at the same or <br />different times, of any other rights or remedies for the same default or any other default. <br />The provisions of this Section 7 shall survive the expiration or earlier termination or <br />revocation of this Agreement. <br /> <br />8. Repair of Property Following Termination; Assignment. Immediately upon <br />the expiration or the revocation or termination of this Agreement for any reason <br />whatsoever, the City shall do or cause to be done, at the City's sole cost and expense, the <br />following: (i) remove and properly dispose of, off of the Property, any equipment and any <br />other personal property brought onto the Property by the City or the Licensee Group; and <br />(ii) repair any damage to the Property, the Project or any other real property caused by the <br />City or any member of the Licensee Group. The provisions of this Section 8 shall survive <br />the expiration or earlier termination or revocation of this Agreement. <br /> <br />9. "As Is"/Compliance with Laws. The City acknowledges that it has <br />inspected the Easement Areas and agrees that it is using the Property "As Is" and at the <br />City's sole risk, without any representation or warranty whatsoever from Licensor that <br />such ,Easement Areas are suitable for uses described in Section 1 above or otherwise. The <br />City shall determine the location of any stubbed utilities and utility boxes at various <br />locations on the Property. The City shall be solely responsible for protecting all such <br />utilities against damage. In exercising any rights the City may have under this <br />Agreement, the City shall at all times comply, at the City's sole expense, with all <br />applicable covenants, conditions and restrictions recorded against the Property or any <br />portion thereof, all design guidelines applicable to the Property, and all Laws. <br /> <br />9 <br /> <br />..~. 11"" <br />
