<br />AGREEMENT BY AND BETWEEN <br /> <br />ONE-TWELVE U.S.A. INC. AND REDWOOD CITY <br /> <br />Whereas Redwood City wishes to provide some of' their <br />employees the opportunity to learn S~anish and whereas <br />One-Twelve U.S.A. Inc. desires to teach Spanish to the <br />employees of Redwood City, both parties agree to the <br />following: <br /> <br />A. <br /> <br />B. <br /> <br />ONE-TWELVE U.S.A. INC.: <br /> <br />1. <br /> <br />Will establish and organize Spanish classes to be <br />conducted at times mutually agreed upon, with said <br />classes being held on Redwood City premises. <br /> <br />Will provide an instructor for each class and said <br />instructor will be compensated by One-Twelve U.S.A. <br /> <br />2. <br /> <br />3. <br /> <br />Will provide One Twelve USA's study materials for <br />each student and such materials shall become the <br />property of each student. <br /> <br />4. <br /> <br />Will conduct one Spanish class on a weekly basis <br />for a minimum of 27 classes. Each weekly class will <br />be 90 minutes long for a total of 40 class hours. <br /> <br />5. <br /> <br />Will conduct said classes with a minimum of TEN <br />(10) and a maximum of TWBLVE (12) employees in each <br />class. <br /> <br />REDWOOD CITY: <br /> <br />1. <br /> <br />Will provide all classroom space needed to <br />accommodate the classes that will be established on <br />REDWOOD CITY premises. <br /> <br />2. <br /> <br />REDWOOD CITY agrees to pay One Twelve U.S.A., the <br />sum of FIVE HUND'RED EIGHTY DOLLARS ($580.00) for <br />each employee en~olled in the Spanish classes.
