13. Business License. Consultant will obtain and maintain a City of Redwood City Business License for the term of the Agreement, as may be amended from time -to -time. 14. Maintenance of Records. Consultant will maintain complete and accurate records with respect to costs incurred under this Agreement. All records will be clearly identifiable. Consultant will allow representatives of Client during normal business hours to examine, audit, and make transcripts or copies of records and any other documents created pursuant to this Agreement. Consultant will allow inspection of all work, data, documents, proceedings, and activities related to the Agreement for a period of three (3) years from the date of final payment under this Agreement. 15. Ownership of Documents. All plans, specifications, original or reproducible transparencies of working drawings and master plans, preliminary sketches, architectural presentation drawings, structural computations, estimates and any other documents prepared pursuant to this Agreement, including, but not limited to, any other works of authorship fixed in any tangible medium of expression such as writings, physical drawings and data magnetically or otherwise recorded on computer diskettes (hereinafter referred to as the 'Project Documents") shall be and remain the property of Client upon receipt of all monies due and owing to Consultant. Although the official copyright in all Project Documents shall remain with the Consultant or other applicable subcontractors or consultants, the Project Documents shall be the property of Client whether or not the work for which they were made is executed or completed, and upon receipt of all monies due and owing to Consultant. Upon the earlier of (i) termination of this Agreement or, (ii) within thirty (30) calendar days following completion of the Project, Consultant shall provide Client with copies of any and all then completed Project Documents in both hard copies and digital formats (pdf, Sketchup, AutoCAD and/or Revit). In addition, Consultant shall retain copies of Project Documents on file for a minimum of fifteen (15) years following completion of the Project, and shall make copies available to Client upon the payment of reasonable duplication costs. Before destroying the Project Documents following this retention period, Consultant shall make a reasonable effort to notify Client and provide Client with the opportunity to obtain the documents. 15.1. Rioht to Use. Consultant grants to Client the right to use and reuse all or part of the Project Documents, with no additional compensation to Consultant, for the following purposes: (a) The construction of all or part of this Project, (b) The repair, renovation, modernization, replacement, reconstruction or expansion of this Project at any time; or (c) The construction of another project by or on behalf of the City and/or YMCA for its ownership and use.
