13. Business License. Consultant will obtain and maintain a City of Redwood City <br />Business License for the term of the Agreement, as may be amended from time -to -time. <br />14. Maintenance of Records. Consultant will maintain complete and accurate records <br />with respect to costs incurred under this Agreement. All records will be clearly <br />identifiable. Consultant will allow representatives of Client during normal business <br />hours to examine, audit, and make transcripts or copies of records and any other <br />documents created pursuant to this Agreement. Consultant will allow inspection of all <br />work, data, documents, proceedings, and activities related to the Agreement for a <br />period of three (3) years from the date of final payment under this Agreement. <br />15. Ownership of Documents. All plans, specifications, original or reproducible <br />transparencies of working drawings and master plans, preliminary sketches, <br />architectural presentation drawings, structural computations, estimates and any other <br />documents prepared pursuant to this Agreement, including, but not limited to, any other <br />works of authorship fixed in any tangible medium of expression such as writings, <br />physical drawings and data magnetically or otherwise recorded on computer diskettes <br />(hereinafter referred to as the 'Project Documents") shall be and remain the property of <br />Client upon receipt of all monies due and owing to Consultant. Although the official <br />copyright in all Project Documents shall remain with the Consultant or other applicable <br />subcontractors or consultants, the Project Documents shall be the property of Client <br />whether or not the work for which they were made is executed or completed, and upon <br />receipt of all monies due and owing to Consultant. Upon the earlier of (i) termination of <br />this Agreement or, (ii) within thirty (30) calendar days following completion of the <br />Project, Consultant shall provide Client with copies of any and all then completed <br />Project Documents in both hard copies and digital formats (pdf, Sketchup, AutoCAD <br />and/or Revit). In addition, Consultant shall retain copies of Project Documents on file <br />for a minimum of fifteen (15) years following completion of the Project, and shall make <br />copies available to Client upon the payment of reasonable duplication costs. Before <br />destroying the Project Documents following this retention period, Consultant shall make <br />a reasonable effort to notify Client and provide Client with the opportunity to obtain the <br />documents. <br />15.1. Rioht to Use. Consultant grants to Client the right to use and reuse all or <br />part of the Project Documents, with no additional compensation to Consultant, for the <br />following purposes: <br />(a) The construction of all or part of this Project, <br />(b) The repair, renovation, modernization, replacement, reconstruction or <br />expansion of this Project at any time; or <br />(c) The construction of another project by or on behalf of the City and/or <br />YMCA for its ownership and use. <br />ATrY/AGR/2017.263/0TY—YMCA ARCHITECTURE AGREEMENT <br />REV: 11-09-17 VR <br />Page 8 of 15 <br />
