REV: 01-20-23 JB <br />AMENDMENT NO. 3 <br />TO THE FUNDING AGREEMENT <br />BETWEEN THE SAN MATEO COUNTY TRANSPORTATION AUTHORITY AND <br />THE CITY OF REDWOOD CITY <br />FOR THE <br />US 101 WOODSIDE ROAD (SR 84) INTERCHANGE PROJECT <br />THIS THIRD AMENDMENT (Third Amendment) to the US 101 Woodside Road (SR <br />84) Interchange Project (Project) Funding Agreement (Funding Agreement) is made as of the <br />14th day of February 2023 by and between the San Mateo County Transportation Authority (TA) <br />and the City of Redwood City (Sponsor), referred to herein individually as “Party” and jointly as <br />“Parties.” <br />WHEREAS, the Parties entered into the Funding Agreement for the Plans, <br />Specifications and Estimates (PS&E) and Right-of-Way (ROW) phases of the Project on August <br />1, 2017 (Scope of Work); and <br />WHEREAS, on December 6, 2019, the Parties executed the First Amendment to <br />the Funding Agreement to extend the time of performance and reallocate budget for the <br />Scope of Work; and <br />WHEREAS, on February 11, 2021, the Parties executed the Second Amendment to the <br />Funding Agreement, which extended the time of performance because the Sponsor needed more <br />time to complete the right of way appraisal maps, plats and legal descriptions, and conclude <br />Scope of Work activities; and <br />WHEREAS, the Sponsor advised the TA that the appraisal maps were accepted by <br />Caltrans, and requested to extend the time of performance to complete the remaining Scope <br />of Work and to revise the Scope of Work Budget/ Source of Funding by adding $650,000 to <br />the Sponsor match, for a new total Sponsor match of $2,760,000 and total Project cost of <br />$10,900,000, to account for increased costs; and <br />WHEREAS, the Parties desire to amend the Funding Agreement in order to extend the <br />term of the Agreement and increase the Sponsor match. <br />IT IS HEREBY AGREED by the Parties that the Funding Agreement is revised <br />and amended as follows: <br />1.Sponsor Oversight; Work Plan. Exhibit A-2 is replaced with Exhibit A-3, which is attached <br />to this Third Amendment and incorporated herein by this reference. <br />2.Sponsor Oversight; Work Plan. Section 1.1 of the Funding Agreement is amended by <br />replacing the first sentence with the following: <br />ATTY/AGR.2023/Amend. No.3/SMCTA (101 Woodside Interchange) (Page 1 of 7)
