<br />...5:/r/-.:$ <br /> <br />AMENDMENT NO.1 TO EXTEND AND AMEND AGREEMENT FOR <br />FLYGT SUMBERSIBLE PUMP MAINTENANCE AND REPAIR SERVICES <br /> <br />(ITT Industries) <br /> <br />This Amendment No.1 is entered into and effective as of the - day of <br />, 2005, extending and amending the agreement dated <br />January 20, 2005 (the "Agreement") by and between the City of Redwood City, a charter <br />city and municipal corporation of the State of California ("City"), and ITT Industries, a <br />California corporation ("Consultant") (collectively, the "Parties") for maintenance, repair <br />and replacement of ITT Flygt submersible pumps for the City's sanitary sewer lift <br />stations. <br /> <br />RECITALS <br /> <br />A. The Parties desire to extend the Agreement for a period of eleven months <br />to June 30, 2006. <br /> <br />B. The Parties have negotiated and agreed to a supplemental scope of work <br />and fee schedule, which is attached to and incorporated in by this reference as Exhibit <br />"A," Scope of Services and Exhibit "B," Fee Schedule. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. That the Agreement, as may have been amended from time to time, is <br />hereby extended for a period of eleven months ending on June 30, 2006, and <br />Consultant will be paid a not to exceed amount of One Hundred Thirty-Eight Thousand <br />Six Hundred Sixteen and 60/100 dollars ($138,616.60). <br /> <br />2. Notices.
