vi. "Library Identified Contact" means the person or persons designated in writing by the Library to receive Security Incident or Data Breach notification. vii. "Security Incident" means the potentially unauthorized access by non -authorized persons to Personal Data or Non -Public Data Brainfuse believes could reasonably result in the use, disclosure or theft of Library's unencrypted Personal Data or Non -Public Data within the possession or control ofBrainfuse. A Security Incident may or may not turn into a Data Breach. ARTICLE IX - NOTICES AND LEGAL ADDRESSES OF THE PARTIES Section 9.1 Leal Addresses All notices or other communications required or which may be given hereunder shall be addressed and forwarded as set forth herein. Any such notice if sent to Library shall be addressed as follows: Derek Wolfgram, Library Director Redwood City Public Library 1044 Middlefield Road Redwood City, CA 94063 Any such notice if sent to Brainfuse shall be addressed as follows: Brainfuse,Inc. 271 Madison Avenue Third Floor New York, New York 10016 Telephone: (212) 683-5212 Except as otherwise stated, all notices to be provided or that may be provided under this Agreement must be in writing and delivered by regular and certified mail. Each party will notify the other immediately of any changes of address that would require any notice or delivery to be directed to another address. Section 9.2 Electronic Transmissions Any invoice shall be deemed to have been properly transmitted when sent by telegraph, telecopy, cable transmission, or any other form of electronic communication, and shall be deemed to have been given on the date of receipt thereof. ARTICLE X - GENERAL PROVISIONS Section 10.1 Survival The provisions of Articles VII and VIII herein shall survive the termination of this Agreement Section 10.2 ADDlicable Law and Venue This Agreement shall be construed in accordance with, and governed by the laws of the State of California. Any action at law or in equity brought by either of the parties for the purpose of enforcing a right or rights provided for by this Agreement will be tried in a court of competent jurisdiction in the County of San Mateo, State of California, and the parties waive all provisions of law providing for a change of venue in these proceedings to any other county.
