OIC-;'tv'M.L <br />AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES <br />Eric Daniel dba The EDCCO Group <br />This Amendment No. 1 (the "Amendment No. V) is entered into and effective as <br />of Pecernhpr IU , 2_oiq by and between the City of Redwood City, a charter city <br />and municipal corporation of the State of California ("City"), and Eric Daniel dba The <br />EDCCO Group ("Consultant') (collectively, the "Parties"). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Professional <br />Services, dated as of December 19, 2017, (the "Original Agreement'). <br />B. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit <br />"A", incorporated herein by reference. <br />NOW, THEREFORE, in consideration of the.e recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Consultant will provide the additional services set forth in Exhibit "A", and <br />such services will be considered part of the Services for purposes of the Agreement. <br />2. City will pay Consultant a not -to -exceed amount of Two Hundred Ten <br />Thousand Dollars ($210,000) for the completion of all the services described in Exhibit <br />"A", which sum will include all costs or expenses incurred by Consultant. Including all <br />amendments through Amendment No. 1, the total amount payable under the Agreement <br />will be a not -to -exceed amount of Four Hundred Ten Thousand Dollars ($410,000). <br />3. Unless terminated earlier, the term of this Agreement will be a period of four <br />years from the Effective Date. <br />4. Consultant will complete all work described in Exhibit "A" by December 19, <br />2021, provided that the City may grant extensions consistent with the extension <br />provisions set forth in the Agreement. <br />5. All other provisions of the Agreement rill remain in full force and effect. <br />6. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment. <br />7. The individuals executing this Amendment and the instruments referenced <br />in it on behalf of Consultant each represent and warrant that they have the legal power, <br />right and actual authority to bind Consultant to the terms and conditions of this <br />Amendment. <br />REV: 11-27-19 EI <br />
