ATTY/AGR/2018/AMENDMENTS/AMEND NO. 2 TO RELOCATION ASSISTANCE AGREEMENT <br />REV: 01-04-18 RL <br />Page 1 of 3 <br />SECOND AMENDMENT TO AGREEMENT FOR RELOCATION ASSISTANCE <br />CONSULTANT SERVICES <br /> <br /> This Second Amendment is entered into and effective as of the ___ day of <br />_______________, 2018, amending the agreement dated August 10, 2016 by and <br />between the City of Redwood City, a California charter city and municipal corporation <br />("City"), and Overland Pacific & Cutler, a Delaware limited liability company, <br />(“Consultant") (collectively, the “Parties”) for relocation assistance consultant services. <br /> <br />RECITALS <br /> <br />A. On August 10, 2016, the Parties executed the Agreement for Relocation <br />Assistance Consultant Services (“the Original Agreement”); and <br /> <br />B. On July 21, 2017, the parties executed the First Amendment to Agreement <br />for Relocation Assistance Consultant Services (“the First Amendment”) (the Original <br />Agreement and the First Amendment are collectively referred to as the “Agreement”); <br />and <br /> <br />C. The Parties have negotiated and agreed to an updated task and fee <br />schedule. <br /> <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br /> 1. In addition to those services contained in the Agreement, as may have <br />been amended from time to time, Consultant will provide those services described in <br />Exhibit "A." <br /> <br /> 2. City will pay Consultant for all work associated with those services <br />described in Exhibit “A” Eighty Four Thousand Four Hundred and Eighty Eight Dollars <br />($84,488), for an aggregate amount of Three Hundred Ninety Six Thousand One <br />Hundred and Fifty Six Dollars ($396,156.00). Consultant will provide City, on a monthly <br />basis, copies of invoices sufficiently detailed to include hours performed, hourly rates, <br />and related activities and costs for approval by City. <br /> <br /> 4. All other provisions of the Agreement, as may have been amended from <br />time to time, will remain in full force and effect. <br /> <br /> 5. All requisite insurance policies to be maintained by Consultant pursuant <br />to the Agreement, as may have been amended from time to time, will include coverage <br />for this Amendment. <br /> <br /> <br /> <br /> <br /> <br />6.1.B. - Page 115
