CAD/RMS MA.PPING SYSTEM AGREEMENT <br /> Lucent Technologies Inc., a Delawaze corporation with an office located at 2600 Warrenville Road,Lisle, <br /> Illinois, acting through its Public Safety venture("LUCENT"), and the City of Redwood City, Califomia, <br /> a municipal corporation,duly organized under the laws of the State of California with City offices located <br /> at 1301 Maple Street, Redwood City, California 94063 ("CITY") enter into this CAD/RMS Mapping <br /> System Agreement �(the "Agreement"), effective March 22, 1999 (the "Effective Date"), pursuant to <br /> which CITY will purchase and LUCENT will provide CITY with a System(as hereinafter defined). <br /> Section 1 EXEiIBITS <br /> The Exhibits below are hereby incorporated into and made a part of this Agreement. When interpreting <br /> this Agreement and resolving any ambiguities, the main body of this Agreement will take precedence <br /> over the Exhibits and any inconsistency between the E�chibits will be resolved in the order in which the <br /> Exhibits appear below, except that any maintenance services which LUCENT may provide will be <br /> governed solely by the terms of the Maintenance and Support Agreement(Exhibit E). <br /> Eahibit A LUCENT System Description("System Description") <br /> E�ibit B Acceptance Test Plan("Acceptance Test Plan") <br /> Exhibit C Pricing and Product list("Pricing and Product List") <br /> E�chibit D Statement of Work("Statement of Work") <br /> Exhibit E LUCENT Maintenance and Support Agreement("Maintenance and Support Agreement") <br /> Exhibit F Form of Escrow Agreement <br /> Exhibit G Motorola Mobile Data Communications System Proposal dated September 2, 1998, as <br /> amended <br /> Exhibit H Corporate Environments of Woodside, California Fumiture Proposal March 2, 1999 <br /> Secfion 2 DEFINITIONS <br /> Capitalized terms used in this Agreement and its Exhibits and not otherwise defined within the <br /> Agreement have the following meanings: <br /> "Documentation" means the manuals, user guides, and other materials provided by LUCENT to assist <br /> CITY in using Products. <br /> "Equipment" is the products specified in the Product List included in Exhibit C, excluding Software and <br /> Services. <br /> "LUCENT Sofiware" is Software, in object code, owned by LUCENT, and included in Exhibit C. No <br /> source code versions are included. <br /> "Non-LUCENT Software" is Software, in object code, owned by a party other than LUCENT, and which <br /> LUCENT is furnishing under this Agreement, and included in Exhibit C.
