COMMUNICATIONS SYSTEM AGREEMENT C. ADDtTIONAL PRODUCTS: For three (3) years after the Effective Date of this Agreement, Customec may submit purchase orde�s for additionai portable and mobile subscriber products manufactured by C Motorola's Land Mobile Products Sector that are then currenthr available• If Customer and Motorola have agreed to a convention for processing electronic data interchange ("EDI'�transactionst purchase orders may be transmitted elec7ronicaily. Each purchase order rnust specfically refer to this Agreement and wili be an offer by Customer subject to Motorola's acceptance. Except for pricing and delivery terms, which must be stated on the purchase order, Customer and Motorola agree that the appiicable terms of the main body of this Agreement wiii be the only'tertns and conditions that govem the purchase and sale of products idenYfied on such purchase orders. Customer and Motorola agree that payment for all additional products so purchased wili be due within twenty-five (25) days after the date of Motorola's ir�voice for the products. D. EQUIPMENT MAINTENANCE SERVICE: Customer may purct�ase maintenance service for the Communications System pursuant to the terms and conditions of the Motorola Service Agreement (Exhibit C). E. MOTOROLA SOFTWARE: Any Motorola Software fumished will be licensed to Customer solely according to the terms and restrictions of the Software License Agreement attached as Exhibit A. Customer hereby accepts a11 of the terms and restrictions of the Software License Agreemen� F. NON-MOTOROLR SOFTWARE: Any Non-Motorola Software fumished by Motorofa will be subject to the terms and restrictions of its copyright owner. � Section 4 PERFORMANCE SCHEDULE A. Motorola and Customer agree to perform their responsibitities-in-accordance the Statement of Work ' included in this proposal. B. By executing this Agreement, Customer authorizes Motorola to procc�xed with the manufacture, assembly, integration, de(ivery, installation and testing of the Communications System. No further notice to proceed, purchase order, authorization, resolution, or any other action wiit be required. Section 5 PAYMENT SCHEDULE A. The total contract price is Fve Hundred Sixty Four Thousand One Hundred Eighty Fve and Twenty Two Cents $564,185.22 including sales taxes. Except for the first payment, which is due when Customer executes this Agreement, Customer agrees to make paymeFrts fo IVrotorota witfiin twenty- five (25) days after the date of invoices which will be submitted by Motorola according to the following payment schedule: 1. 20%of the total contract price is due when Customer executes this Agreeme�t; 2. f0% of the total contract price will be invoiced immediately after the Equipment is shipped from Motorola's facifities; 3. �Q% of the total contract price will be invoiced immediately after the Equipment is installed at the sites specified in the Exhibits; and 4. 1�(% of the total contract price will be invoiced immediately after System Acceptance of the Motorola Subsystem. `_ � Contract No. 97-,_JXyZ Page 2 • (Rev.6J11/9� . _
