against any responsibility or liability in contravention of Section 2782 of the California <br /> <br /> Civil Code. <br /> <br /> 9. Records. Contractor shall keep and maintain all signed receipts and delivery <br />logs pertaining to delivery of Abandoned Shopping Carts to Participating Owners, <br />delivery logs of Shopping Carts delivered to the Center, weekly and monthly production <br />summary sheets, and similar such records pertaining to Contractor's services hereunder. <br />Such records, or copies thereof, shall be maintained at Contractor's place of business; <br />provided, that upon request, Contractor shall produce and deliver such records to City at <br />City's City Hall, for inspection, audit, or other review performed by or for City. Contractor <br />shall maintain said records for not less than three (3) years following the expiration of the <br />term, or any renewal term hereof. <br /> <br /> 10. Condition Precedent; Term. (a) Condition Precedent. This agreement <br /> shall not become effective until City Ordinance No. 2186, entitled "Ordinance Repealing <br /> Article VI of, and Adding Article VIII to, Chapter 14 of the Code of the City of Redwood <br /> City Relating to Abatement of Abandoned Shopping Carts," becomes effective. <br /> <br /> (b) Term. The term of this agreement shall commence on October 22, 2001, <br /> and shall expire on June 30, 2002. City is hereby granted the right and option to extend <br /> the term of this agreement in accordance with all terms and conditions hereof (including, <br /> without limitation, compensation provisions) for an additional one year, commencing <br /> July 1, 2002, and expiring June 30, 2003; provided, that City shall give Contractor <br /> written notice of its exercise of said option not less than thirty (30) days prior to the <br /> expiration of the initial term. <br /> <br /> F:Atty2001Sharea/RedwoodlCouncil/AgmVAgmt-515 9 <br /> <br /> <br />
