<br /> 1 14.02 Section Headings. The article headings and section headings in this <br /> 2 Agreement are for convenience of reference only and are not intended to be used in the <br /> 3 construction of this Agreement nor to alter or affect any of its provisions. <br /> 4 <br /> 5 14.03 References to Laws and Other Agreements. All references in this <br /> 6 Agreement to laws shall be understood to include such laws as they may be <br /> 7 subsequently amended or recodified, unless otherwise specifically provided. This <br /> 8 Agreement supersedes any and all agreements heretofore entered into by the parties. <br /> 9 <br /> 10 14.04 Interpretation. This Agreement, including the exhibits attached hereto, <br /> 11 shall be interpreted and construed reasonably and neither for nor against either party, <br /> 12 regardless of the degree to which either party participated in its drafting. <br /> 13 <br /> 14 14.05 Agreement. This Agreement may not be modified or amended in any <br /> 15 respect except by a writing signed by the parties. Any conflict between the body of the <br /> 16 Agreement and the exhibits shall be resolved in favor of the Agreement. <br /> 17 <br /> 18 14.06 Severability. If any non-material provision of this Agreement is for any <br /> 19 reason deemed to be invalid and unenforceable, the invalidity or unenforceability of <br /> 20 such provision shall not affect any of the remaining provisions of this Agreement which <br /> 21 shall be enforced as if such invalid or unenforceable provision had not been contained <br /> 22 herein. <br /> 23 <br /> 24 14.07 Exhibits. Each of Exhibits identified as Exhibit "A" through "H" is <br /> 25 attached hereto and incorporated herein and made a part hereof by this reference. <br /> 26 <br /> 27 14.08 Attorneys' Fees. The prevailing party in any action brought to enforce the <br /> 28 terms of this Agreement or arising out of this Agreement may recover its reasonable <br /> 29 costs and attorneys' fees expended in connection with such an action from the other <br /> 30 party. <br /> 31 <br /> 32 14.09 Compilation of Information for State Law Purposes. Contractor shall <br /> 33 compile information on amounts of Solid Waste delivered to the Facilities and other <br /> 34 information, which the Agency may reasonably request. <br /> 35 <br /> 36 14.10 Definitions. Capitalized terms used in this Agreement without definition <br /> 37 have the meanings specified in Exhibit A, unless the context clearly requires otherwise. <br /> 38 <br /> 39 14.11 Counterparts.
