claims, whether the same proceed to judgment or not. <br /> <br /> Licensee will, at its own expense and upon written request by Licensor, <br />defend any such suit or action brought against Licensor or the City of Redwood City <br />Redevelopment Agency, their agents, officers or employees. Licensee indemnification <br />will not be limited by any prior or subsequent declaration by Licensee. <br /> <br /> This section will survive the expiration or termination of this License. <br /> <br /> 9. Venue. Licensee agrees and hereby stipulates that the proper venue and <br />jurisdiction for resolution of any disputes between the parties arising out of this License <br />is San Mateo County, California. <br /> <br /> 10. Insurance. Licensee will acquire and maintain Workers' Compensation, <br />employer's liability, commemial general liability, owned and non-owned and hired <br />automobile liability insurance coverage relating to Licensee's use of the Property <br />pursuant to this License.
