<br />~ <br /> <br />AMENDMENT NO.2 TO EXTEND THE AGREEMENT FOR <br />TRANSIENT OCCUPANCY TAX COMPLIANCE SERVICES <br />MBIA MuniServices Company <br /> <br />This Amendment No. 2 is entered into and effective as of the ..dfd... day of <br />December, 2006, extending the "Agreement for Transient Occupancy Tax Compliance <br />Services" dated September 7, 2005 ("Agreement") by and between the City of Redwood <br />City, a charter city and municipal corporation of the State of California ("City"), and MBIA <br />MuniServices Company, ("Consultant") (collectively, the "Parties") for Transient <br />Occupancy Tax Audit Services. <br /> <br />RECITALS <br /> <br />A. On September 28, 2006, the Parties executed Amendment No. 1 to the <br />Agreement to alter the scope of services, authorize additional fees to complete the <br />additional services, and extend the term of the agreement to 12/06/06; and <br /> <br />B. The Parties desire to extend the Agreement for an additional period of 90 <br />days ending on 03/06/07. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. <br />03/06/07. <br /> <br />That the Agreement is hereby extended for a period of 90 days ending on <br /> <br />2. <br /> <br />Consultant will complete all work by March 6, 2007. <br /> <br />3. All other provisions of the Agreement, as may have been amended from <br />time to time, will remain in full force and effect. <br /> <br />4. All requisite insurance policies to be maintained by the Consultant <br />pursuant to the Agreement, as may have been amended from time to time, will include <br />coverage for this Amendment. <br /> <br />5. The individuals executing this Amendment and the instruments referenced <br />in it on behalf of Consultant and City each represent and warrant that they have the <br />legal power, right and actual authority to bind Consultant to the terms and conditions of <br />this Amendment. <br /> <br />Amendment to AddTime-ChangeScope-FeeSchedule <br />City Attorney Approved Version 090103 1 <br />
