ORlGlNAL <br />AMENDMENT NO. 3 TO EXTEND THE AGREEMENT FOR <br />TRANSIENT OCCUPANCY TAX COMPLIANCE SERVICES <br />BETWEEN THE CITY OF REDWOOD CITY <br />AND <br />MUNISERVICES, LLC <br />THIS AMENDMENT NO. 3 is dated March 5, 2007, and extends the term of the Agreement for <br />Transient Occupancy Tax Compliance Services dated September 7, 2005 ("Agreement") <br />between the City of Redwood City, a charter city and municipal corporation of the State of <br />California (City) and MuniServices, LLC (formerly known as MBIA MuniServices Company) a <br />Delaware limited liability company (Consultant) (collectively, the "Parties"). <br />RECITALS <br />A. On September 28, 2006, the Parties executed Amendment No. 1 to Agreement to alter <br />the scope of services, authorize additional fees to complete the additional services, <br />and extend the term of the Agreement to December 6, 2006; and <br />B. On December 8, 2006, the Parties executed Amendment No. 2 to the Agreement <br />extended the term of the Agreement for an additional period of 90 days ending on <br />March 6, 2007. <br />The Parties therefore agree as follows: <br />1. Section 1 of the Agreement is hereby amended by deleting the section in its <br />entirety and replacing section 2 with the following: <br />Consultant will complete all work by July 6, 2007. <br />2. All other provisions of the Agreement, as may have been amended from time <br />to time, will remain in full force and effect. <br />3. All requisite insurance policies to be maintained by the Consultant pursuant to <br />the Agreement, as may have been amended from time to time, will include <br />coverage for this Amendment. <br />4. The individuals executing this Amendment and the instruments referenced in <br />it on behalf of Consultant and the City each represent that they have the legal <br />power, right and actual authority to bind Consultant to the terms and <br />conditions of this Amendment. <br />Page 1 <br />
