<br />ORIGINAL <br /> <br />AMENDMENT NO.1 TO EXTEND AND AMEND AGREEMENT FOR <br />TRANSIENT OCCUPANCY TAX COMPLIANCE SERVICES <br />MBIA MuniServices Company <br /> <br />)"his Amendment No. 1 is entered into and effective as of the .IlII4 day of <br />0E~e/ , 2006, extending and amending the "Agreement for <br />Transient Occupancy Tax Compliance Services" dated September 7, 2005 <br />("Agreement") by and between the City of Redwood City, a charter city and municipal <br />corporation of the State of California ("City"), and MBIA MuniServices Company, <br />("Consultant") (collectively, the "Parties") for Transient Occupancy Tax Audit <br />Services. <br /> <br />RECITALS <br /> <br />A. The Parties desire to extend and fund the Agreement for a period of 90 <br />days ending on 12/06/06 and amend the Agreement to authorize the Audit <br />Services. <br /> <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br /> <br />1. That the Agreement is hereby extended for a period of 90 days ending on <br />12/06/06 and Consultant will be paid a not to exceed amount of fifteen thousand dollars <br />($15,000.00). <br /> <br />2. Pursuant to the Compliance Services described in Exhibit "A" which were <br />provided under the Agreement, the following providers have been identified by the City <br />for audit: Capri Inn, Comfort Inn, Deluxe Inn (aka Budget Inn), Hampton Inn, Hotel <br />Sofitel, Pacific Euro, Sequoia/American Hotel, Super 8 Motel, and Towneplace Suites. <br />Consultant will provide the City with Audit Services for those providers. City will <br />compensate Consultant for the Audit Services listed in Exhibit "A" at the amounts set <br />forth as anticipated costs in Exhibit "A". <br /> <br />3. Contingent on timely cooperation by the lodging providers, Consultant will <br />complete all work by December 6, 2006. If the failure of any of the lodging providers to <br />timely cooperate with Consultant prevents completion of work by December 6, 2006, <br />the parties will amend this Agreement to extend the completion date to a mutually <br />agreeable date. <br /> <br />4. All other provisions of the Agreement, as may have been amended from <br />time to time, will remain in full force and effect. <br /> <br />5. All requisite insurance policies to be maintained by the Consultant <br />pursuant to the Agreement, as may have been amended from time to time, will include <br />coverage for this Amendment. <br /> <br />Amendment to AddTime-ChangeScope-FeeSchedule <br />City Attorney Approved Version 090103 1 <br />
